IN NO EVENT SHALL DION'S PIZZA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO DION'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable law. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Dion's Pizza, and its owners, officers, directors, employees, agents, contractors, affiliates, licensors, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees, court costs, and expert witness fees) arising out of or relating to:

You waive any objection to the laying of venue of any such proceeding in such courts, and waive any objection that such courts are an inconvenient forum.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Dion's Pizza in writing at [email protected]. We will attempt to resolve the dispute informally within thirty (30) days of receiving your written notice. 10.2 Binding Arbitration

Except as set forth in Section 10.3 below, you and Dion's Pizza agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding individual arbitration, rather than in court. The arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) or another mutually agreed-upon arbitration service, in accordance with its then-current Consumer Arbitration Rules. The arbitration shall take place in the United States, in a location mutually agreed upon by the parties, or via remote hearing if mutually agreed.

The arbitrator shall have the authority to award any remedies available under applicable law, including injunctive or declaratory relief and attorneys' fees, as permitted by law. The arbitrator's decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

10.3 Exceptions to Arbitration

Notwithstanding the agreement to arbitrate set forth above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights. Additionally, claims that qualify for filing in small claims court may be brought in such court, provided the dispute remains in small claims court and proceeds on an individual (non-class) basis.

10.4 Class Action Waiver

YOU AND DION'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.5 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DION'S PIZZA EACH WAIVE ANY RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE COVERED BY THESE TERMS.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Website or Services, or maintain an account with us. We reserve the right, in our sole and absolute discretion, to suspend or terminate your access to the Website and Services, and to deactivate or delete your account and all associated information and files, at any time and for any reason, including but not limited to:
